6.3 Client Work Products

For custom development projects, intellectual property rights will be governed by separate project agreements. Generally, upon full payment, clients receive ownership of custom work products, while IKSectors retains rights to general methodologies and pre-existing intellectual property.

7. Payment Terms

7.1 Fees and Payment

Payment terms for services will be specified in individual project agreements or service contracts. Standard terms include:

• Payment due within 30 days of invoice date
• Late payment fees may apply
• All prices are exclusive of applicable taxes
• Disputed amounts must be raised within 10 days

7.2 Refund Policy

Refunds are subject to individual project agreements. Generally, refunds may be available for services not yet commenced, minus any incurred costs.

8. Service Level Agreements

We strive to provide reliable services with minimal downtime. Specific uptime guarantees and support response times will be detailed in individual service agreements where applicable.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

11. Limitation of Liability

To the maximum extent permitted by law, IKSectors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount paid by you for the specific Service giving rise to the claim in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless IKSectors from any claims, damages, losses, or expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you provide or transmit through our Services

13. Confidentiality

We respect the confidentiality of your business information. Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship, as detailed in separate confidentiality agreements where applicable.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemics, or government regulations.

15. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of our Services after such changes constitutes acceptance of the modified Terms.

16. Termination

Either party may terminate the use of Services at any time. Upon termination:

• Your right to use our Services immediately ceases
• We may delete your account and data
• Outstanding payment obligations remain in effect
• Provisions that should survive termination will continue to apply

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17.1 Alternative Dispute Resolution

Before pursuing litigation, parties agree to attempt resolution through good faith negotiations and, if necessary, mediation through a mutually agreed mediator.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any third party at our discretion.

20. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements for specific services, constitute the entire agreement between you and IKSectors regarding the use of our Services.
